Les termes et conditions de vente qui suivent s'appliquent à toute vente de marchandise par Guillevin International Cie et ses divisions ("Guillevin"). Le Client sera réputé connaître pleinement les termes et conditions exprimés ci-après. Ces termes et conditions lieront les parties en cas de livraison et d'acceptation par le Client des produits auxquels il est fait référence ci-après.
1. Liste de matériaux : La commande est établie en fonction de la liste de matériaux, préparée par Guillevin ou les fournisseurs de Guillevin, qui est jointe à la commande. Guillevin n’est en aucun cas responsable de l’exactitude des plans et/ou devis soumis par le Client sur lesquels est basée la liste de matériaux. Le Client est responsable de s’assurer que la marchandise commandée ainsi que la liste de matériaux répondent à toutes les spécifications requises par Client.
2. Prix et Paiement : Tous les prix sont sujets à changement sans préavis. Les prix ne comprennent pas les taxes; la TPS, la TVH et les taxes provinciales ne sont pas incluses. Tous les paiements doivent être effectués dans les 30 jours de la date de facturation. Guillevin peut également modifier les termes de paiement, à son entière discrétion, s’il considère que la condition financière du Client a changé, pouvant aller jusqu’à exiger que le Client paie en totalité, ou en partie, avant l’expédition de la commande.
3. Transport et entreposage : À moins d’indication contraire, tous les frais de transport, d’entreposage ou autres charges s’y rattachant, doivent être ajoutés au compte du Client, en plus du prix indiqué.
4. Retards : Les dates d’expédition et de livraison représentent des estimations et leur exactitude n’est pas garantie. Guillevin n’assume aucune responsabilité, pour tout motif, pour tout dommage, incluant, sans limitation, des dommages directs, indirects, accessoires, financiers, corrélatifs ou autres qui pourraient résulter d’un retard dans la livraison de la marchandise ou de l’incapacité de compléter la commande.
5. Annulation : Les commandes passées à Guillevin ne peuvent pas être annulées par le Client sans l’autorisation préalable écrite de Guillevin. Le Client accepte d’indemniser Guillevin pour toute perte, directe ou indirecte, découlant de l’annulation d’une commande.
Translation - English Terms and Conditions of Sale
The following terms and condition apply to all goods as sold by Guillevin International and any division thereof (referred to herein as “Guillevan”). The customer will be deemed to be familiar with the terms and conditions hereafter. These terms and conditions shall be binding upon the parties in respect of delivery and acceptance of goods by the customer to which they are referred herein.
1. Materials List: The order is made up using a list of materials (attached to this order) drawn up by Guillevan or by suppliers of Guillevan. Guillevan will be in no circumstances responsible for the inaccuracy of any drawings and/or estimates submitted by the customer upon which the materials list has been based. The customer is responsible for ensuring that both the goods ordered and the list of materials are compliant with all specifications prescribed by the customer.
2. Payment and Prices: All prices will be subject to change without prior notice. Prices are not inclusive of tax; Goods and Service Tax (TPS); National and Local taxes are not included. Payment must be made in full within 30 days of invoice. Guillevin may also vary terms of payments at their entire discretion if it considers that customer’s financial circumstances have changed which may go as far as the client being asked to pay in full or in part prior to despatch of order.
3. Transport and Storage Unless otherwise indicated, all relevant transport, storage or any other charges will be added to the customer’s account and will be additional to the quoted price.
4. Delays: Delivery and shipment dates are estimates only without any guarantee of accuracy. Guillevin does not take any responsibility in any circumstances for damage including, but not limited to, any direct, indirect, incidental, financial, consequential or other damage that may result in late delivery of goods or inability to fulfil the order.
5. Cancellation: Orders placed with Guillevan cannot to be cancelled by the client without prior written consent from Guillevan. The client agrees to reimburse Guillevan for any direct or indirect loss that may be incurred by them following cancellation of an order.

Source text - French ARTICLE 2 : Obligation du prestataire
1) Le prestataire encadre dans le respect des règles de sécurité en vigueurs pour l’activité escalade
2) Le prestataire doit respecter le projet éducatif ainsi que la charte de fonctionnement de L’Organisation et plus particulièrement la thérapie récréative.
3) Le prestataire s’engage à fournir son numéro de licence ainsi que son diplôme ou sa carte professionnelle.
4) Le prestataire s’engage à fournir un extrait de casier judiciaire (bulletin n°3).
5) Le prestataire et son personnel devront avoir une attitude respectueuse vis à vis des enfants et des adolescents. Il doit y avoir suffisamment de personnel diplômé pour assurer l’activité.
6) Le prestataire doit prendre en compte l’accueil des enfants handicapés :
- selon les modalités de L’Organsiation;
- selon ses prérogatives en termes d’accueil, de logistique et de moyen matériel.
7) Le prestataire s’engage à fournir le matériel et l'encadrement conformément à la réglementation en vigueur (agrément jeunesse et sport), adapté à la taille des enfants et des adolescents et préciser le type de matériel utilisé.
8) Le prestataire garantit que chaque groupe d’enfants a le même encadrement pour toutes les séances.
9) Le prestataire s'engage notamment, pour répondre et satisfaire au mieux à son obligation de sécurité, à
- soumettre les enfants qui lui sont confiés à un encadrement qualifié ;
- proposer une activité adaptée aux aptitudes physiques et techniques des intéressés ;
- prévenir tout risque d'incident dont l'imminence serait patente ;
- éviter que les enfants ne s'exposent à des dangers dont ils pourraient sous-estimer la gravité.
10) Toute activité non assurée par le prestataire n'est pas facturée.
11) Le prestataire s’assure que la zone d’activité est parfaitement délimitée, accessible et sécurisée.
12) Dans le cas où les intempéries ne permettent pas la pratique de l’activité et afin de ne pas pénaliser les enfants, le prestataire s’engage dans la mesure du possible à reporter les activités à une date ultérieure avant la fin de la session.
Translation - English ARTICLE 2: Receiving Party’s Obligations
1) The Receiving Party shall run climbing activities in accordance with current safety regulations.
2) The Receiving Party shall observe the educational plan as well as The Organisation's operational charter and specifically use recreational therapy practices.
3) The Receiving Party must provide their licence number in addition to a copy of their qualifications or licence/certificate to practice.
4) The Receiving Party must provide documentation disclosing status of criminal convictions (e.g. Bulletin no.3 (France), DBS (UK) etc.)
5) The Receiving Party’s attitude shall be that of respect towards children and adolescents. They shall ensure suitably qualified staff are assigned to any given activity.
6) The Receiving Party shall make allowances for children with disabilities:
- in accordance with the Orgnisation’s terms and conditions;
- and the mandatory provisions required in terms of organisation, facilities and providing a welcoming environment.
7) The Receiving Party shall provide equipment and instruction which conform to current regulations (as set out in the ‘Youth and Sport’ agreement), adapted to accommodate children’s and adolescents’ heights and specify the type of equipment used.
8) The Receiving Party guarantees that each group of children receives the same instruction for all activity sessions.
9) In order to respond to and satisfy to the best of their ability all safety requirements, the Receiving Party shall notably:
- ensure the children under their supervision are in the charge of qualified instructors;
- offer activities adapted to the physical and technical capabilities of those interested;
- prevent any risk of the occurrence of an accident which could have been clearly foreseen;
- prevent children being exposed to dangers of which they could possibly under-estimate the severity.
10) No charge may be made for any activity that has not been insured by the Receiving Party.
11) The Receiving Party shall check that the activity zone is suitably demarcated, accessible and secure.
12) In the event of bad weather stopping an activity, the Receiving Party shall, where possible, defer activities to a later date prior to the end of the holiday in order that no children are at a disadvantage.
