Under the laws of its jurisdiction of incorporation it is not necessary that the Transaction Documents be registered, filed, recorded, notarised or enrolled with any court or other authority in that jurisdiction or that any stamp, registration, notarial or similar Taxes or fees be paid on or in relation to them or the transactions contemplated by them, except any filing, recording or enrolling or any tax or fee payable in relation to this agreement and the Pledge Agreement which is referred to in any legal opinion delivered to the Buyer under Schedule 1 (Conditions Precedent).
