I surmise that Gesellschaftsvertrag here is Articles or a Deed of *Partnership* (as I have drafted in practic/se), but often(times) wrongly assumed on ProZ and otherwise by lawyers (gappy-knowledge UK solicitors and accountants) who ought to know better - to be Articles of (US) Incorporation or (BrE/ Oz) Association of a (UK) ltd. company/ (US) corporation,
Cut to persönlich haftende Gesellschafter = general (individual or corporate-member GmbH) partner suggests it is an ordinary or general partnership: in a limited company or corp., this would be a counter-intuitive opening up of *unlimited* personal liability.
Executive director would connote a (UK) limited company or (US) corporation, otherwise an LLP that is a hybrid partnership / company.

We use Managing Director within our group, anyone not a company official would "only" be a Director.
And yes, the registration doc will list if MDs are allowed to conclude business on their own or only together with another MD or a POA holder (Prokurist) while the articles of partnership or any downstream resolutions for changes will be much wordier than the registration doc.

So I'm curious as to why my colleagues believe this to be some kind of partnership agreement. A GmbH can have more than one "Geschäftsführer":
