that the insurers agree to waive any subrogation howsoever arising which they may have or acquire against any of the Investor, the Operator, the Grantor and the Lenders arising out of any occurrence in respect of which any claim is admitted under the policy save with regard to that party who invalidated its right in the insurance by willful or fraudulent behavior;
