"The quorum for any meeting of the members of the Company shall be two members present (in person or by proxy) if the meeting is to consider any Reserved Matter but shall otherwise be any member or members so present holding between them more than 50 percent of the issued share capital of the Company and
resolutions in writing may be passed by the members of the Company if signed by (a) member(s) who would if voting at a meeting hold such number of Shares as would be entitled to pass such resolution save that any resolution in writing in relation to any Reserved Matter shall only be effective if approved by Kibalian and Masters"

Here's the whole sentence : I got the first part, but I don't understand the last half...
I mean, is that even proper english?

Hope someone can enlighten me on this one, I'd be grateful.
